HAPPIETOKEN STANDARD TERMS AND CONDITIONS
USER TERMS & CONDITIONS
These Terms & Conditions apply to all users who register on the HappieToken platform and redeem or use vouchers ("Vouchers") at any event, campaign, roadshow, exhibition, or promotional activity (collectively, "Activities").
Nature of Vouchers
- Vouchers are promotional entitlements offered by participating merchants for use at the relevant Activity.
- Vouchers are not legal tender, have no cash value, and cannot be exchanged, refunded, or redeemed for cash or credit.
- The validity period, redemption mechanics, and conditions of use of each Voucher are determined by the organiser and/or the participating merchant ("Organiser Policy").
Voucher Redemption
- A Voucher may only be redeemed once and only through the HappieToken platform ("Platform").
- The merchant is solely responsible for providing the product or service associated with the Voucher.
- HappieToken does not guarantee the availability, quality, suitability or delivery of any merchant product or service.
Refunds, Returns and Activity Policies
- All matters relating to refunds, cancellations, exchanges, extensions, or returns of Vouchers or merchant offerings are determined solely by the organiser and/or participating merchant.
- HappieToken does not issue refunds, replacements, credits, cash rebates, or compensation to users under any circumstances, including where a merchant declines to honour a Voucher, modifies an offer, or where an Activity is changed, postponed, or cancelled.
- Any inquiry, complaint, disagreement, or dispute relating to a Voucher, a merchant's product or service, or an Activity must be resolved directly between you and the merchant and/or organiser. HappieToken is not responsible for and is not required to participate in any such dispute.
Data Protection & Use
- When you register or redeem a Voucher, you may be asked to provide personal data such as your name, contact number, and redemption activity ("User Data").
- You hereby consent to the collection, use, and disclosure of User Data for the following purposes:
- to operate the Platform and record Voucher redemption;
- to share your contact information with the merchant whose Voucher you redeem, so they may fulfil your redemption and contact you regarding that redemption;
- to share your contact information with the organiser or campaign operator for administrative purposes, campaign analytics, future event planning, and communications reasonably related to the Activity or to similar activities organised in the future, provided that direct marketing is carried out only where you have given express consent;
- for HappieToken to process User Data for the purpose of providing the Platform Services. "Platform Services" means the digital platform operated by HappieToken that enables the display, redemption, and management of electronic vouchers during Activities.
- User Data may be used for direct marketing only where you have separately provided express consent (for example, by checking an opt-in box).
- You may request to unsubscribe or withdraw consent at any time, and such requests will be honoured promptly.
- HappieToken may generate anonymised, aggregated or statistical data from User Data and redemption activity ("Performance Data") for analytics, reporting, optimisation and service improvement. Performance Data does not identify you personally.
- Merchants and organisers who receive User Data through the Platform are independent data users and controllers. They are solely responsible for their own handling of User Data in compliance with the Personal Data Protection Act 2010 ("PDPA") and any other applicable data protection laws.
- HappieToken shall not be responsible for, and disclaims all liability arising from, any act, omission, misuse, or breach of the PDPA or other laws by organisers, merchants, or any third parties who obtain User Data through the Platform.
Platform Limitations
- The Platform Services are provided on an "as is" and "as available" basis.
- HappieToken does not guarantee uninterrupted or error-free access, including:
- temporary system downtime or service disruption;
- QR code scanning interruptions;
- delays in voucher display or redemption; and
- inaccurate or incomplete user-entered information.
- The availability, fulfilment, and redemption of Vouchers are managed by participating merchants. HappieToken does not control merchant actions and does not guarantee that a merchant will honour or fulfil any Voucher.
- HappieToken shall not be responsible or liable for any loss, cost, claim, charge or dispute arising from:
- a merchant's refusal, delay, modification or failure to honour a Voucher;
- changes to merchant offers, event arrangements or redemption conditions; or
- any loss, dissatisfaction, inconvenience, or damage arising from your use of the Platform or participation in an Activity.
- You assume all risks associated with your use of the Platform and redemption of Vouchers.
Limitation of Liability
- HappieToken is not responsible for:
- the acts, omissions, or offerings of merchants or organisers;
- failure by a merchant to honour a Voucher;
- cancellation, disruption, or modification of an Activity; or
- any loss, cost, injury, damage, or dissatisfaction suffered by you in connection with an Activity or a merchant's product or service.
- To the fullest extent permitted by law, HappieToken excludes all warranties and liability, whether direct, indirect, consequential, or incidental.
Termination of Access
- HappieToken may suspend or terminate your access to the Platform Services at any time if:
- you misuse the Platform Services or attempt to interfere with their operation;
- HappieToken reasonably believes that your conduct may cause harm, risk, disruption, or complaint in relation to the Platform Services; or
- you breach these Terms & Conditions.
- HappieToken shall not be liable for any losses, costs, damages, liabilities, or claims arising from or in connection with the suspension or termination of your access to the Platform Services. For the avoidance of doubt, you shall not be entitled to any refund, compensation, or other remedy as a result of such suspension or termination.
No Assignment
You may not assign, transfer, or share your account or any rights to use the Platform Services without HappieToken's prior written consent.
Confidentiality
You must keep confidential any non-public information made available to you through the Platform, except where disclosure is required by law. This clause does not limit HappieToken's ability to use or disclose data in accordance with these Terms & Conditions.
Amendments
HappieToken may modify or update these Terms & Conditions from time to time. Any updates will be effective upon being posted on the Platform, and your continued use of the Platform Services after such posting constitutes acceptance of the updated terms.
Governing Law
These Terms & Conditions are governed by the laws of Malaysia. You agree to submit to the exclusive jurisdiction of the Malaysian courts.
